FunPlus Subscription Terms

These Subscription Services terms (“Subscription Terms”), together with our Terms of Use and Privacy Policy and all supplemental terms and other documents referenced in each of these documents (collectively, the “Terms“), govern your use of the Subscription Services in the Digital Goods & Services. You should read each of these Terms carefully. Capitalised terms used but not defined in these Subscription Terms shall have the meaning given to them in our Terms of Use. In the event of a conflict between these Subscription Terms and our Terms of Use and Privacy Policy, these Subscription Terms will prevail with respect to the use of your Subscription.
Some of FunPlus’ Digital Goods & Services may offer Subscription Services. By purchasing a Subscription Service within such Digital Goods & Services, you are hereby entering into a periodic subscription agreement with FunPlus, to commence immediately on purchase and to run in accordance with the terms detailed when purchasing.
The Terms form a legally binding contract between you and FunPlus. By accessing or using the Digital Goods & Services and the Subscription Services, you accept and agree to these Terms. If you do not agree to these Subscription Terms, then do not access, purchase or use a Subscription.
Subscriptions to our Digital Goods & Services are available exclusively through third-party platforms such as the Apple App Store or Google Play Store. We do not process subscription payments directly. The applicable platform will charge you the subscription fees and act as the merchant of record.
Your purchase, billing, renewal, cancellation, and refund rights are subject to the platform’s applicable payment and subscription terms. In the event of any conflict between those terms and these Terms, the platform’s terms will prevail to the extent required.
1. ABOUT YOU
1.1 By using the Subscription Service, you represent that you are at least 18 years of age, or if you are younger than 18 years of age, that you have reviewed the Terms with your parent(s) or guardian(s) and they have agreed to these Terms on your behalf and take full responsibility for your compliance with them. If we are informed by a parent/guardian that their child has misrepresented their age when registering for our Digital Goods & Services or a Subscription Service, we may suspend the relevant Account, provided we have information which satisfies us that the reporting person is indeed the parent or guardian of that child.
2. WHO WE ARE
2.1 We are FunPlus International AG, a company registered in Switzerland and located at Bahnhofstrasse 2, 6300 Zug, Switzerland. All references to us in these Terms shall be deemed to include our affiliate and subsidiary companies, unless otherwise stated (“we”, “our”, “us” or “FunPlus”).

3. CHANGES TO TERMS
3.1 We may change these Subscription Terms from time to time, for example, in order to ensure that we remain compliant with applicable laws or to reflect any changes we make to the Subscription Services or otherwise. It is your responsibility to check the Terms regularly before using any of our Digital Goods & Services. Your continued use of our Digital Goods & Services from the date of change will be deemed your acceptance of the amended Terms.
4. SUBSCRIPTION AND FEE
4.1 The applicable fee, term, termination process, auto-renewal mechanisms, billing frequency, and total amount payable for each billing period will be clearly displayed when you order the Subscription or before you confirm the purchase of the Subscription Service. You will not be charged any amount that was not clearly disclosed to you before the completion of your Subscription Service purchase.
4.2 If we decide to decrease the price of your Subscription Service, and if you choose an auto-renewable Subscription Service, all your active Subscription Services will automatically renew at the lower price once the current subscription period ends, subject to the right to cancel being duly informed as per the preceding section.
4.3 If we decide to increase the price of your auto-renewal Subscription Service:
4.3.1 We may, at our discretion, continue to offer existing subscribers their original price.
4.3.2 If we do not preserve the original price, you will receive a clear and timely notification provided by the platform (Apple, Google, etc.).
4.3.3 You must expressly consent to the new price before the next renewal. If you do not consent, or if you take no action, your Subscription Service will automatically end at the conclusion of your current billing term.
4.3.4 Notice of a price change will always be given with sufficient advance time. The timing of these notifications shall depend on the duration of the Subscription Service, and will be subject to a minimum required notice according to the platform’s terms of use.
4.4 We may, from time to time, offer one-time or limited-time bonus items to subscribers or new Users who agree to start a Subscription Service. These items will be clearly marked as “bonus” and are provided as a temporary benefit. They do not form part of your ongoing Subscription, and will not be renewed or replenished in subsequent Subscription periods.
5. AUTO-RENEWAL AND PAYMENT
5.1 If you opt for auto-renewal, your Account will be charged periodically for the Subscription Service unless you cancel it before the renewal date. When you sign up, you must provide complete and accurate payment information for your preferred payment method and keep it up to date. You expressly authorise us and the platform on which you purchased your Subscription Service, to collect the Subscription Service fees via automatic debit from your chosen payment method.
5.2 Your Subscription Service will automatically renew at the end of each subscription period, at the price and duration communicated to you when you first subscribed, unless otherwise notified in advance. If we propose a price increase or change to your subscription, we will notify you in a durable medium (e.g. email or in-game message as described in sections 4.2 and 4.3 above). Your express consent will be required before any renewal at a higher price; if you do not consent, your Subscription Service will end at the close of the current period.
5.3 Unless otherwise stated, subscription fees are payable in advance and billed automatically at the start of each period.
5.4 You may cancel your Subscription Services at any time before the next renewal period using the cancellation function provided (in-game, via your account settings, or as required by applicable law), subject to sections 1.1, 6.1 and 7.
5.5 If you do not pay the fees or charges due for your Subscription Service, we may make reasonable efforts to notify you and resolve the issue in accordance with our Terms of Use.
5.6 The subscription fee will be shown in the currency used by Apple or Google to process your payment, in line with the applicable platform’s terms and conditions.
5.7 If a payment you made is refused or reversed, we may immediately suspend or cancel the Subscription Service until the full value of the payment is made.
6. CANCELLATION
6.1 If you do not want your Subscription Service to renew automatically or if you want to terminate your Subscription Service, you can manage or cancel your Subscription Service through the relevant third-party platforms (Apple or Google), by following the steps in section 6.2 below (Please note that simply deleting your Account will not cancel your Subscription). If you cancel your Subscription Service, you may continue to use the cancelled Subscription Service until the end of your then-current Subscription Service term. The Subscription Service will then not be renewed when your then-current term expires.
6.2 You may cancel the auto-renewal of a Subscription Service via the relevant third-party platform by following the steps below on your device:

7. REFUNDS
7.1 SUBSCRIPTION SERVICE PAYMENTS ARE NON-REFUNDABLE, AND THERE ARE NO REFUNDS FOR PARTIALLY USED SUBSCRIPTION PERIODS, EXCEPT FOR THE CASES AS EXPLAINED BELOW.
7.2 In case you reside in the USA, European Union, Canada, UK or Australia, any refunds for paid Subscriptions will be subject to the refund terms, conditions and policies of the applicable platform used for the initial purchase, such as Apple or Google and Subscription services may be cancelled within 14 days from the date of purchase and you may obtain a refund of your initial payment minus a reasonable period portion to cover your use of the Subscription service prior to cancellation. For any FunPlus Games purchased via a third-party platform such as Apple or Google, please refer to the applicable platform payment terms relevant to subscriptions and refunds.
7.3 For South Korea and other jurisdictions with specific local rules (if any):
Any refunds for paid Subscription Services will be subject to the refund terms, conditions and policies of the applicable platform used for the initial purchase, such as Apple or Google. The Subscription Services may be cancelled within seven (7) days from the date of purchase; however, you are also subject to our Withdrawal and Refund Policy stipulated in our Terms of Use.
8. RESTRICTIONS
8.1 The Subscription Service provided to you shall be used only in the Digital Goods & Services and in accordance with the Terms. Any use by you of the Subscription Service outside the Digital Goods & Services via illegal methods (e.g., malicious cracking) will be deemed a violation of the Terms, and we may cancel your access to the Digital Goods & Services and Subscription Service in accordance with our Terms of Use, with or without notice.
8.2 We reserve the right to disable, suspend or terminate your access to the Subscription Service and the Digital Goods & Services, in part or in full, and may do so without notice, due to any breach of these Subscription Terms, including but not limited to failing to pay Subscription Services fees or charges. We may also take legal action against you if we suspect or have proof of criminal activity.

10. LAW AND JURISDICTION
These Subscription Terms are governed by the applicable laws set out under the FunPlus Terms of Use, and the dispute resolution clause set out therein shall apply in relation to any dispute connected with these Subscription Terms and the Subscription Service relating to our Digital Goods & Services.
11. General
11.1 These Subscription Terms are drafted in the English language and may be translated into other languages. The English language version of these Subscription Terms shall at all times prevail if there is a conflict or inconsistency or if a clarification is required.
11.2 These Subscription Terms may be changed from time to time by us. For changes we consider minor and reasonable, we will give you reasonable notice of the changes.
